Terms of service

These are the rules for using insideoutcookie.com and buying from us. They are written to be read, not skimmed, but the operative parts are in ordinary contract language on purpose. If you buy, subscribe, or make an account, you are agreeing to them. If you do not agree, do not use the site.

"Inside Out Cookie", "we", "us", and "our" mean Inside Out Cookie Co. of 106 School St #206, Spring Mills, PA 16875. "You" means the person using the site or placing the order.

1. Who can use the site

You must be at least 18, or the age of majority where you live, to buy from us or make an account. You may let a minor in your care use the site with you, and you are responsible for what they do. You agree to give us accurate information, keep your account login private, and tell us if someone else is using it.

2. What we sell

We bake and ship cookies from Spring Mills, Pennsylvania. Online, cookies are sold by the Box (six, twelve, eighteen, or twenty-four cookies, Regular or Gluten-Free) either as a one-time purchase or on subscription. We also sell gift cards, merchandise, corporate and fundraiser orders by arrangement, and wholesale to approved business accounts under separate terms.

Food facts. Cookies are perishable. Our kitchen handles wheat, dairy, eggs, peanuts, tree nuts, and sesame, and every cookie is made in the same room, so cross contamination is possible. Every bag carries an ingredient sticker, and the flavors that carry a specific warning say so on their product page. "Gluten-Free" and "Gluten and Dairy Friendly" describe the recipe, not a certified allergen-free facility. If you have a serious allergy, email info@insideoutcookie.com before you order and we will tell you exactly what is in the flavor you want.

Photos and descriptions. Cookies are handmade and stuffed by hand, so yours will not look exactly like the photo. Weights, sizes, and the mix of flavors in a curated box can vary. We will not substitute a flavor without telling you, except where the product page says the box is our pick.

3. Prices, mistakes, and taxes

Prices are in US dollars and can change without notice, but the price you paid at checkout is the price you pay. Sales tax is added where the law requires it. Shipping is charged at checkout unless the item says it ships free.

Where a price is shown crossed out, that compare-at price is what the same number of cookies costs bought one at a time at our published single-cookie price. It is a real reference price, not an invented one.

If we list something at an obviously wrong price or with a wrong description, we can cancel the order before it ships and refund you in full. We will email you first if the mistake is one we can fix another way.

4. Orders

Your order is an offer to buy. We accept it when we email a shipping confirmation, not when we email the order confirmation. We can decline or cancel an order for reasons including a suspected fraud flag, a delivery address we cannot serve, a product that sold out, a wholesale purchase from a non-approved account, or an order that appears to be for resale. If we cancel, you get a full refund.

Check your address before you submit. You are responsible for the shipping information on your order and in your confirmation email. Once a box ships we cannot redirect it, and a package that goes to a wrong address you gave us is treated as delivered (see the Shipping Policy).

One-time orders can be cancelled by emailing info@insideoutcookie.com only until they go into the oven; once we have baked for you, the order is final because we cannot sell the cookies to anyone else.

5. Shipping and risk of loss

Shipping terms, carriers, timing, and our weather rules are in the Shipping Policy at insideoutcookie.com/policies/shipping-policy, which is part of these Terms. Risk of loss and title pass to you when we hand the package to the carrier. Delivery dates are estimates; we do not guarantee arrival by a particular day. We ship within the United States only.

6. Returns and refunds

The Refund Policy at insideoutcookie.com/policies/refund-policy is part of these Terms. In short: cookies are food, so we cannot take them back, but if a box arrives damaged, melted, or wrong we will replace it or refund it once you tell us with a photo.

7. Gift cards

Gift cards are sold in US dollars, do not expire, carry no fees, and cannot be redeemed for cash except where state law requires it. They can be used for anything on the site except another gift card. Lost or stolen gift cards cannot be replaced unless you can show us the original purchase. Gift cards bought by fraud are void.

8. Promotions, discount codes, and rewards

Discount codes have the terms attached to them when we issue them (dates, minimums, one per order, which products they cover). Codes cannot be combined unless the code says so, and a promotional code cannot be applied to a subscription renewal after the first order unless we say otherwise. Our loyalty and referral program runs through a third-party app and has its own terms at insideoutcookie.com/pages/affiliate-and-referral-terms; points and rewards have no cash value and can be adjusted or ended if the program changes or if we find abuse. We can end any promotion early, and we can cancel orders that use a code obtained by fraud, a leaked code, or a code the person using it was not entitled to.

9. Subscriptions (the Box on a schedule)

The full Subscription and Membership Terms at insideoutcookie.com/pages/subscription-terms are part of these Terms. The parts the law wants stated up front:

• It renews automatically. When you subscribe, you authorize us to charge the payment method on file for the box you picked, at the price shown when you subscribed (or a later price we have told you about, see below), on the schedule you picked, until you cancel.
• We email you before every charge. Before each renewal you get an email with the date, the amount, and links to skip, pause, or cancel.
• Cancel any time, the same way you signed up. Log in, open Subscriptions, choose Cancel. No call, no chat, no save-offer maze. Or email info@insideoutcookie.com and we will cancel it for you. Cancellation stops any box that has not yet been charged.
• Skip and pause work the same way, in the same place.
• Price changes. If the price of your box goes up, we email you at least 30 days before the new price is charged and you can cancel before it takes effect. If you keep the subscription past that date, the new price applies.
• Subscriptions ship free everywhere we ship, for as long as you keep them.
• Minimum box is six cookies. You can move up or down between sizes by emailing us; there is no size under six.

10. Memberships

The House Account is our paid membership. It is an auto-renewing plan with its own price, benefits, renewal date, reminder, and cancel path, all stated on insideoutcookie.com/pages/pro and in the Subscription and Membership Terms. Membership benefits are personal to you, have no cash value, and cannot be resold. Member pricing applies to one-time boxes only and does not stack with subscription pricing on the same box.

11. Wholesale, fundraisers, and corporate orders

Wholesale purchasing is limited to businesses we have approved, at prices shown only to approved accounts, under the Wholesale Terms at insideoutcookie.com/pages/wholesale-terms. Fundraiser and corporate gifting orders are arranged by email at sales@insideoutcookie.com and are governed by the quote or order confirmation we send plus these Terms. Wholesale product bought through the consumer site by an unapproved account can be cancelled.

12. Reviews and anything else you post

If you leave a review, a photo, a comment, or tag us on social media and we ask to reuse it, you give us a free, worldwide, permanent license to use it on our site, in our marketing, and in our ads, with your first name and last initial, without payment. We can edit for length or remove anything that is unlawful, off-topic, contains someone else's personal information, or is not a real experience with our product.

Reviews must be honest. We do not pay for reviews, we do not pay more for good ones, and we do not remove reviews for being negative. If we ever offer something for writing a review, the offer is the same whether the review is good or bad, and the review will say it was incentivized. Anyone who is paid by us, works for us, or gets free product from us must say so in the review.

13. Our content and trademarks

The Inside Out Cookie name, logo, the duck, the cutaway photos, the recipes we publish, the copy, the video, and everything else on the site belong to us or our licensors. You can share links and screenshots for personal, non-commercial purposes. You cannot copy our photos or copy for your own product, use our name in a way that suggests we endorse you, or scrape the site. Wholesale accounts get a separate limited license to use our name and images to sell our cookies.

14. Things you cannot do on the site

No bots, scrapers, or bulk ordering scripts. No trying to get around a wholesale gate, a minimum, a discount limit, or a security control. No uploading malware or trying to get into other people's accounts. No using the site for anything illegal. We can suspend or close accounts that do any of this.

15. Disclaimers and limits on our liability

Plain version: we take a lot of care with the cookies and the site, but we cannot promise perfection, and our responsibility to you is capped at what you paid.

Operative version: The site and the products are provided "as is" and "as available" except for the express commitments in these Terms and our policies. To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. Nothing in this section limits liability that cannot be limited by law, including for death or personal injury caused by our negligence, for fraud, or your rights under laws that protect consumers in your state.

To the fullest extent the law allows, we and our owners, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the site or our products, and our total liability to you for any claim will not exceed the amount you paid us for the order the claim is about, or $100, whichever is greater. Some states do not allow some of these limits, so some may not apply to you.

Third-party services on the site (Shopify checkout, Shop Pay, the rewards app, the review app, carriers) are governed by their own terms; we are not responsible for their content or conduct beyond what the law requires.

16. Disputes

First, talk to us. Nearly every problem is a damaged box or a mis-billed subscription, and we fix those by email. Before starting any formal proceeding, email info@insideoutcookie.com with "dispute" in the subject and give us 30 days to resolve it.

If 30 days is not enough: individual arbitration. You and we agree that any dispute arising from these Terms, the site, or our products will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator, by video or in Centre County, Pennsylvania, at your choice. We will pay all AAA filing and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.

Small claims stays open. Either of us can instead bring an individual claim in small claims court where you live or in Centre County, Pennsylvania. Nothing in this section stops that.

Claims are individual. Claims must be brought individually, not as a plaintiff or class member in any class, consolidated, or representative action, and the arbitrator cannot award relief to anyone but the individual party.

You can opt out, and you have 30 days. Email info@insideoutcookie.com with "arbitration opt-out" in the subject, your name, and the email on your order, within 30 days of your first purchase. If you opt out, disputes go to the state or federal courts sitting in Centre County, Pennsylvania, and each side waives a jury trial to the extent the law allows. Opting out costs you nothing else; it does not affect your order, your subscription, or anything else in these Terms.

Anything not arbitrable goes to the state or federal courts sitting in Centre County, Pennsylvania, and you consent to their jurisdiction. If the individual-claims paragraph above is found unenforceable for a particular claim, that claim goes to those courts and the rest of this section still applies.

This section survives cancellation of your account or subscription.

17. Governing law

Pennsylvania law governs these Terms and any dispute, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 16. If you live in a state whose consumer laws give you rights that cannot be waived, those rights still apply.

18. The rest

• Whole agreement. These Terms plus the Privacy, Shipping, Refund, Subscription and Membership, Wholesale, Affiliate and Referral, and Accessibility pages, and any order confirmation, are the whole agreement between us about the site and your orders.
• Changes. We can update these Terms by posting a new version with a new effective date. Material changes affecting subscribers or members get emailed at least 30 days before they take effect; continuing to use the site or keep a subscription after that date means you accept them. Changes do not apply retroactively to an order already placed.
• Severability. If part of these Terms is unenforceable, the rest still applies.
• No waiver. If we do not enforce something once, we can still enforce it later.
• Assignment. You cannot transfer your account or these Terms to someone else; we can transfer them to a buyer of the business.
• Force majeure. We are not responsible for delays or failures caused by things outside our reasonable control (weather, carrier failures, power outages, supply shortages, public emergencies), though we will refund anything we cannot deliver.
